Financial Services Guide
Introduction
This Financial Services Guide (“FSG”) is issued by Resolution Capital Limited ABN 50 108 584 167 (“Resolution Capital”, “we” or “us”) and is designed to provide information about the financial services provided by us including:
• who we are;
• the financial services and products we are authorised to provide;
• how we are remunerated for the services and products we are authorised to provide;
• how we deal with privacy;
• our internal and external complaints handling procedures; and
• how you can contact us.
About Resolution Capital
Resolution Capital is an investment management boutique based in Australia and holds an Australian Financial Services Licence, AFSL 274491. We invest in a select and diverse group of real estate and infrastructure securities capable of generating superior risk adjusted returns for investors. Resolution Capital believes it can create portfolios which have the greatest prospect of delivering returns above inflation and consistent, sustainable, long term out-performance.
Financial services of Resolution Capital
Resolution Capital is authorised under its AFSL to carry on a financial services business to:
– provide financial product advice in relation to deposit and payment products, government debentures, interests in managed investment schemes, and securities; and
– deal in a financial product, in relation to deposit and payment products, foreign exchange contracts, government debentures, stocks or bonds, interests in managed investment schemes and securities.
Resolution Capital provides the above financial services to wholesale clients and retail clients (where applicable and permitted).
Pinnacle Investment Management Limited ABN 66 109 659 109 AFSL 322140 and its associated entities (collectively “Pinnacle”) provide distribution and responsible entity services to Resolution Capital. Your dealings with Resolution Capital, including with Pinnacle, will likely be through your financial adviser, your platform provider or our Pinnacle Distribution team.
Documents for retail clients
The Product Disclosure Statement (“PDS”) and Target Market Determination (“TMD”) of each managed investment scheme that Resolution Capital is the investment manager for is available at https://rescap.com/invest/. The PDS and TMD of each managed investment scheme contains important information regarding the features, benefits, risks and fees applicable to that scheme. You should read the PDS and TMD carefully to enable you to make an informed decision about whether to invest in the scheme.
A Statement of Advice (“SOA”) is required to be given when you are provided with any personal advice which takes into account your objectives, financial situation and needs. Resolution Capital does not provide personal advice and therefore, we will not provide you with an SOA.
Remuneration
If you invest in any of our financial products, Resolution Capital will receive remuneration in relation to your investment in that financial product. This remuneration may include management and performance fees, and administration costs. We may also be entitled to recover expenses incurred on behalf of the financial product or service. The expense recoveries and remuneration we will receive will be set out in the financial product’s PDS.
There are no commissions or fees payable to Resolution Capital employees directly for any general advice or service delivered. Resolution Capital employees receive a salary and may receive bonuses and other benefits from time to time. Bonuses and other benefits are subject to factors such as company performance, investment strategy performance and performance of the individual employee.
You may receive advice about our products from financial advisers who are not employed by Resolution Capital. Your adviser is required to set out their remuneration in the FSG and/or SOA they give to you. If you have an ongoing fee arrangement with your financial adviser they must also provide you with a fee disclosure statement on an annual basis.
Insurance coverage
Under the Corporations Act 2001 (“Act”) and regulations made under that Act, Resolution Capital as the holder of an AFSL is required to have professional indemnity insurance that Resolution Capital views as adequate having regard to the nature of our business and the potential for compensation claims. Resolution Capital has an insurance policy in place which covers professional indemnity, crime and directors & officer’s liability insurance. The cover available to Resolution Capital extends to include losses arising from the conduct of former employees or representatives of Resolution Capital (which occurred during their employment with, or service for Resolution Capital) as if those persons were still employed by, or were still representatives of, Resolution Capital. Our Senior management reviews the insurance coverage and policies annually. These arrangements comply with the requirements with s 912B of the Act.
Conflicts of interest
Potential conflicts may arise between the interests of investors, ourselves, our related parties or other third parties (including service providers appointed by us). Where a conflict arises, we give priority to investors’ interests.
We have policies, procedures and organisational arrangements in place to manage conflicts of interest.
From time to time, Resolution Capital’s directors may hold interests in shares or invest in financial products issued by Pinnacle or our related companies.
Your privacy
We take reasonable steps to ensure that personal information about an investor that we collect, use or disclose is accurate, complete and up to date. All personal information collected will be handled in accordance with Resolution Capital’s Privacy Policy.
Under the Privacy Act 1988 and its amendments, an investor may request access to the personal information we and our service providers hold about them. The investor may request to amend or correct information, however if we do not agree with the requested changes, we are not obliged to make those changes.

All complaints received will be acknowledged in writing. Resolution Capital will act in good faith to ensure your complaint is investigated and resolved. If your issue has not been satisfactorily resolved within 30 days, you may be entitled to refer your complaint to the Australian Financial Complaints Authority Limited. They will be able to advise you whether they can assist you in this matter. Our membership number is 86921, which you should quote when referring your complaint.
